Thanks for your interest in joining as a Member.
At MLM Downline Service we believe it's important
for you to know your rights and responsibilities
in being a member. More than anything we want
to be totally transparent about the services
we offer. Doing so we believe will ensure
you enjoy your experience with us and gain
the maximum volume of downline signups possible
as a member of our site. The following is
the terms of this Member Agreement between
downlineservice.com (hereinafter referred
to as “MLMDS”) and any Person/Member/You/Client/Visitor
(or any person using this website and or any
of the products or services sold on or by
www.downlineservice.com , through the use
of this website https://www.downlineservice.com
(hereinafter referred to as “Member or
Members”). Please review these terms
carefully before using or joining as a member
of MLMDS.
1.
INTRODUCTION
Each Member agrees to the terms and conditions
contained in this Member Agreement and this
constitutes the entire and only agreement
between MLMDS and its Members, Users or any
other person, and supersedes any and all prior
or contemporaneous agreements, representations,
warranties and all understandings with respect
to the use of this website.
2.
MEMBER’S ACCOUNT
Upon registration, each member will be provided
a user name and password to enter the Members
Area also known as the Members Back Office,
wherein a Member will be able to use the MLMDS
downline building system and online services
in various ways to begin to grow their network
marketing downline for whichever network marketing
company the Members is involved in the course
of promoting at the time of sign up. Signing
up to become a paid Member of this MLMDS website
and continued use of the MLMDS services and
website constitutes acceptance of this Agreement
and any future versions. Both parties MLMDS
and Members hereto will be acting in an individual
capacity and not as agents, employees, partners,
joint ventures, or associates of one another.
3. AGE DECLARATION AND MISCELLANEOUS
By registering for the MLMDS, a Member hereby
affirms that they are of legal age of employability
as deemed by the governing authorities of
the client's country of origin. The disclaimer
has been designed to outline various details
about our agency, our service, the downlineservice.com
website and the rights and responsibilities
of any new member. This document has been
broken up into sections for your easy reading,
however, it will considered one legal document.
4.
EDITING, DELETING AND MODIFICATION
MLMDS reserves the right, at its sole discretion,
to change, modify, add or remove portions
of these Terms listed on this page, at any
time. MLMDS reserves the right to make modifications
to any part of the website. Each member is
responsible to check these Terms of Use periodically
for changes. A members continued use of the
site following the posting of changes will
mean they accept and agree to the changes.
As long as you comply with these Terms of
Use, MLMDS grants you a personal, non-exclusive,
nontransferable, limited privilege to enter
and use the website.
5.
PAYMENT
MLMDS currently accepts payment for MLMDS
services by either Bitcoin or Credit Card
only. Each Member represents and warrants
that (i) the Credit Card information supplied
is true, correct and complete and (ii) charges
incurred by the Member will be honored by
Member’s Credit Card Company and (iii)
Member shall pay charges incurred in the amounts
in effect at the time incurred, including
all applicable taxes. Each Member agrees to
keep his or her password confidential.
6.
USAGE
The MLMDS service is only meant for private
use by individuals who are currently engaging
in promoting a network marketing or home based
business and seeking help in growing their
network marketing downline. Membership can
also be used by network marketing companies
as a way to add more distributors to their
organization.
7.
LIMITED LIABILITY
MLMDS and its employees, agents, or assigns
are not liable for any costs of damages arising
directly or indirectly from the use of the
service, including any indirect, incidental
or otherwise. MLMDS do not assume responsibility
in any way for the information that is provided
by to the Members that they might discover
via any links that might take the Member to
other related websites. The use of any other
service website that a Member might go to
or use as a result of using the MLMDS Members
area is completely at the Members own responsibility.
Upon logging into the MLMDS members area members
will be asked to complete the submission of
their MLM program information in order for
MLMDS to begin advertising and recruiting
new downline signups for the Member. We call
this step 1. This process of submitting a
members opportunity details takes about 5
to 10 minutes. Step 1 is mandatory in order
for us to begin advertising a members network
marketing opportunity online and to our database
of prospects. Subsequent steps after step
1 are completely optional items and are not
required to be completed for service to begin.
The money back guarantee provided, also referred
to as the indemnities, is in place for the
users security and protection. Support tickets
via email are provided, also herein referred
to as the correspondence, to assist existing
clients with anything needed. Clients after
joining are provided with full assistance
with anything required, also herein referred
as the orientation period. MLMDS offers an
optional free to join internet affiliate program
(which is your standard affiliate program
you'll find on any website, not a network
marketing opportunity).
8.
TERMINATION
Any unauthorized use of the MLMDS service
will be grounds for termination of this Agreement
by MLMDS and or Membership cancellation. Either
party may terminate this Agreement at any
time and for any reason. A Member must provide
notice of intent to terminate to MLMDS by
email which they can send to us at the MLMDS
contact page at: (www.downlineservice.com/contact.htm).
If a members decides to terminate their account,
their opportunity will be removed from the
MLMDS system and all promotions will stop,
their back office access will remain open
for the duration of the membership should
the member at some future point still want
to login, they can still do so. Without prior
notice, MLMDS may terminate this Agreement,
a Members account, or use of the service,
for any reason, including, without limitation,
if MLMDS, in its sole discretion, believes
a Member has violated this Agreement, the
MLMDS Acceptable Use Policy, or any of the
applicable user policies.
9.
DISPUTE RESOLUTION
Should a Member have any issues with their
account or service, they should be brought
to the attention of MLMDS for rapid resolution.
Upon agreement by the parties, any disputes
may be resolved through arbitration. The decision
of the arbitrator shall be binding upon both
parties. Sections 2, 3, 4, 6, 7, and 11 of
this Agreement shall survive termination.
10.
INTELLECTUAL PROPERTY RIGHT
All text, graphics, user interfaces, visual
interfaces, photographs, trademarks, logos,
sounds, music, artwork and computer code (collectively,
"Content"), including but not limited
to the design, structure, selection, coordination,
expression, "look and feel" and
arrangement of such Content, contained on
the Site is owned, controlled or licensed
by or to MLMDS, and is protected by International
Copyright Law, patent and trademark laws,
and various other intellectual property rights
and unfair competition laws. Except as expressly
provided in these Terms of Use, no part of
the Site and no Content may be copied, reproduced,
republished, uploaded, posted, publicly displayed,
encoded, translated, transmitted or distributed
in any way to any other computer, server,
Web site or other medium for publication or
distribution or for any commercial enterprise,
without MLMDS’s express written consent
first sought and obtained. Following the expiration
of an service Membership, any information
of a Members opportunity will revert to becoming
the property of MLMDS, and will typically
remain online as a benefit to the member.
If a member wishes to change information or
no longer have their information displayed,
such as their opportunity information, the
member needs to provide a simply request letting
MLMDS to remove or modify any information
they originally submitted into the system,
and it will be removed upon request. After
the member joins then the examination period
begins; a member then has time to review the
back office and submit their opportunity info
and is under no obligation. Video submission
for our free offers such as at /video-offer.htm
become the sole intellectual property of MLMDS,
which could be used for promotion of the MLMDS
website. You may use information on MLMDS
products and services (such as data sheets,
knowledge base articles, and similar materials)
purposely made available by MLMDS for downloading
from the Site, provided that you (1) not remove
any proprietary notice language in all copies
of such documents, (2) make no modifications
to any such information, and (4) not make
any additional representations or warranties
relating to such documents.

VALID AND CURRENT PAGES
MLMDS does regular maintenance on the website
to ensure all pages are current and relevant.
If you experience any issues with the website
please report it to our staff by email so
we can promptly address it. Our goal is to
ensure that we maintain the highest quality
service and back office area. MLMDS works
to ensure everything in the members area is
kept current and functional.
12.
DISCLAIMER
MLM Downline Service is a unique online Membership,
which provides network marketers with an automated
downline building system, as well as: additional
resources, information, promotional services,
and training that can aid Members in growing
their network marketing businesses. Effectively
members are buying downline signups to join
their network marketing business. Members
also are provided with training materials,
resources and information, which is also included
as part of the service. Advertising efforts
undertaken by MLMDS to promote the home business
opportunity that the members are involved
in will help members to gain new signups.
Members cannot recruit other into MLMDS, as
MLMDS is not a network marketing opportunity
or home based business opportunity. Members
pay no monthly ongoing membership fees. MLMDS
is not a network marketing company in anyway
and does not offer any such membership. MLMDS
does not guarantee or assume any responsibility
for the accuracy of any information in the
MLMDS databases or members area. Although
MLMDS does occasional updates and quality
control screenings, however, MLMDS cannot
guarantee elimination of all errors. Any error
should be brought to the attention of MLMDS
staff in order to have them remedied. The

express warranties or guarantees and waives

limited to the guarantees at the MLMDS site
located at downlineservice.com. By becoming
a Member of downlineservice.com, a Member
hereby agrees to have read and accepted the
terms and conditions on this page in full.

. The terms and conditions on this page apply
to all pages and statements made on the downlineservice.com
website and newsletter. The examination period
is completed within 24 hour. Members are provided
with this time in which we request they submit
their opportunity information to us so we
can begin service. Submitting of a members
opportunity information simply involves filling
out a form that a member will find in the
back office (which takes just 5 minutes to
complete). This is the scheduled time frame
for the examination period and this phase
of the process. If a member is delayed, they
can also submit their opportunity at anytime
later on if they need more time, so there's
no rush. Once a member submits their mlm opportunity
information service can begin. The process
of submitting your data is shown in the back

period ends once a Member logs in and completes
the Downline Builder Activation form and submits
that, or else if the time frame of the examination
period ends, following which the service in
terms of Part 1 will begin, at which point
all indemnities are hereby waived by the Member.

will be strictly adhered and no modifications
or alternations can be made later. If a prospective
member does not understand anything or has

. The service, content and services from or
through the service are provided “as-is”,
“as available”, and all warranties,
express or implied, are disclaimed. MLMDS
and any of its affiliates shall not be liable
for damages or liabilities of any kind arising
out of or in connection with the sale or use
of this service or website. The sole and entire
maximum liability of MLMDS, for any reason,
and Members sole and exclusive remedy for
any cause whatsoever, shall be limited to
the amount paid by the Member for the particular
service. Set forth above are the fundamental
elements of the basis of the contract between
MLMDS and Members.
13.
PROCEDURE
Once a Member logs into the Members area of
the MLMDS site, (https://downlineservice.com/login.htm
) the Member is then provided with a variety
of options to choose from, including the activation
of the MLMDS MLMDS Downline automated downline
building services. This service is activated
by filling out a short form which provides
MLMDS the information necessary to direct
warm leads or prospects to the Members business
opportunity signup web link (url). If for
some reason a Member’s business opportunity
doesn't use any kind of online sign up web
link, then the Member can still provide additional
instruction as to how prospects are to go
about the process of signing up for the Members
network marketing opportunity and into the
Members downline, in which case Members must
provide very clear instructions to MLMDS.
Example: if a membership uses an "I.D.
number" instead of a website URL, that's
perfectly fine and that will be used instead.
However, in most cases a simple weblink (website
address or URL) is provided by the Members
parent network marketing company to each registered
Member of said parent mlm company, which can
then simply be provided to us, as MLMDS will
direct any prospects to the members url in
order to begin to the process of attempting
to help build the Members downline. After
the examination period is complete and a member
has submitted their opportunity info, then
the service of building a members downline
will begin.
14.
PERFORMANCE
MLMDS shall be deemed to have performed its
obligations under this Agreement upon providing
the following: Membership starts with a member
getting access to the Members area in the
form of a user name and password and instructions
on how to access the Members back office.
The user name and password will be automatically
provided after online payment has been made.
The user name and password will be emailed
to the email provided by the Member at the
time of purchase. If a user does not receive
their user name and password after making
a purchase or if their username and password
is not working properly the Member should
immediately contact MLMDS via the MLMDS contact
page at: (www.downlineservice.com/contact.htm)
and let MLMDS know so that we can remedy the
problem. MLMDS Membership and service is a
combination of two very specific parts, which
herein will be known as "Part 1 and Part
2" of the service. Part 1 and Part 2
make up the MLMDS service rendered to Members.
Part 1 is MLMDS efforts to advertise a Members
mlm opportunity to MLMDS warm list of leads
as well as using a variety of online social
media platforms, which builds the Members
downline according to the Membership plan
ordered. Part 2 is the Members own efforts
to build their downline aided by the various
tools, information, training, and resources
that MLMDS has made available to Members inside
of the Members Back Office Area of the site.
In Part 2 Members will use the various resources
provided in the members back office area,
including the instructions therein located
in the backoffice to locate warm leads and
prospects which Members can then attempt to
recruit. When a Member first logs into the
members area they need to complete "Step
1" which consists of filling out a short
online form which providing details on their
mlm business to MLMDS, this information begins
the process of initiating the service. Filling
out the form of "step 1" takes just
5 minutes. If a member does not complete "Step
1" after they join this would limit MLMDS's
ability to provide service as MLMDS would
have no ability to advertise the Members business
opportunity, so completing "step 1"
which is clearly marked once a member logs
into the members area is critically important
to getting the MLMDS service underway. Step
1 is just a short form that a member can complete
in 5 minutes which provides details about
their company such as the signup URL, which
we require in order for MLMDS to begin the
downline building service. MLMDS makes every
effort using the MLMDS warm market of mlm
prospects, mainly in the form of our extremely
large and up to date Prospect Database, to
promote and recruit and grow each Members
downline. MLMDS on average will require at
least 30 days or more to locate the signups
for a particular membership. Depending on
the mlm company that the member is seeking
to build their downline in, results may vary.
Some network marketing opportunities might
attract more downline Members very quickly
while others it might take longer to build
the downline depending largely on a variety
of factors including but not limited to things
like: the mlm parent companies corporate marketing,
compensation plan, countries the business
opportunity is available, corporate website
uptime, cost of entry, follow up by the Member
to prospect inquiries, and various other factors.
This applies to both Part 1 and Part 2 of
or service that was previously talked about,
as well as applies for each level of the different
MLMDS Memberships available. Each member is
responsible for using all the various tools
and resources available in the MLMDS Members
area as supplementary means to build their
downlines up to the level of members in each
Membership Plan and or beyond that level.
After
an order is filled, the Member is then responsible
for any training, coaching, or mentorship
required by their new team of downline signups.
Results can sometimes vary, sometimes based
on the type of network marketing program a
member is involved in. Members who fully utilize
all elements of the members back office and
follow the instructions and training as provided
could potentially begin see results in as
little as 30 days. The MLMDS Downline system
could take longer depending on the type of
network marketing business being promoted.
MLMDS will continue promoting and sharing
a members opportunity for the full length
of a users membership. Memberships are limited
in terms of their time frame, which allow
back office access for 1 full year from the
time of purchase. MLMDS is not to be used
or thought of as a replacement for a Member
to continue their own individual efforts in
ongoing recruiting and promotions and advertising
and regular training provided by their mlm
company and upline to make ongoing efforts
to increase their business and or grow their
downline. The MLMDS Downline system provided
by MLMDS runs only for the full life of any
membership, which is the advertising and automated
recruiting side provided in Part 1 mentioned
above. During and after this time frame that
the MLMDS Downline system is running, Members
will need to be applying their own efforts
as outlined in Part 2 mentioned above in order
to build their network marketing downline.
The total time of a Membership will constitute
the Members ability to access the private
Members Area of the site along with any additional
features or upgrades outlined in the MLMDS
membership ordered. A members opportunity
is shared with the volumes of prospects as
well as on on social media such as facebook
and twitter by way of MLMDS placing links
on social media sites. The volume of prospects
on social media that see or click on such
ads will vary, and the volume of social media
prospects that a member’s opportunity
is shared with or that review a members opportunity
will vary. When a prospect is presented with
the members opportunity to join, they are
also instructed to contact their former downline
from their last company in an attempt to have
as many of them also enroll in the members
opportunity, thus maximizing the total volume
of signups until the members order has been
filled. MLMDS recommends that members also
apply Part 2 as outlined above. Upon being
granted access to the members back office
the examination period will begin and is limited
to no longer than 24 hours. After a member
logs into the members back office they need
to carefully complete all the steps outlined
in order to activate the MLMDS recruiting
system. Failure to do so could result in lack
of downline signups. Everything on this page
also applies to each and every product or
service sold directly by MLMDS, including
but not limited to our MLMDS Downline Services.
Members
that join are currently involved in some type
of legitimate and legal network marketing
business or considering joining some business
opportunity in which the Member will be needing
to begin recruiting a downline. After the
examination period ends, this constitutes
a members acceptance and also their satisfaction
of and with the members back office area and
services provided by MLMDS, and the Member
waives any indemnities. Once a member joins
by completing payment, then shortly following
that they are sent a welcome email containing
their login ID and Password; at the time a
Member is sent their login info and welcome
letter is the time at which when their MLMDS
membership officially begins, and then access
to the members area will remain open for the
length of time of the membership that the
member purchased. MLMDS will show a members
opportunity to former high ranking members
of network marketing companies, as well as
our large database of home business opportunity
seekers who are currently seeking to enroll
in a home based business. These high ranking
network marketers typically are still in contact
with their downlines so if they decide to
join a members mlm opportunity, they've been
instructed to contact all of their former
downline to also transition over into the
Members opportunity via the members signup
link. This will allow the member to gain as
much of the large preexisting downline that
is still available, and allow a Members order
to quickly be filled. MLMDS will work hard

package the member will not be required to
pay anything extra for additional members
above the specified volume listed in the membership

Member decides to drop out of their network

they no longer need service, they can contact
MLMDS to pause their membership until such
a point that they locate some other MLM company
to join and promote. If a Member's network
marketing company they're apart of happens
to end up going out of business, the Member
can also contact MLMDS to have their membership
placed on pause until such a time as the Member
being able to locate some new MLM business
opportunity to join, at which time they can
reactivate their account under the new opportunity.
The
work environment of MLMDS, towards it's staff,
and it's site members is characterized by
mutual trust and the absence of unprofessionalism,
in terms of communications or other. In light
of this, MLMDS maintains a strict no-tollerance
policy toward unprofessionalism of any kind.
Through enforcement of this policy and by
education of it's staff and it's members,
MLMDS will seek to prevent, correct and discipline
improper behavior that violates this policy.
MLMDS Members have 1 full year from the time
they join to access the members back office
and all it's features. The MLMDS Memberships
offers the ability to help users gain potentially
higher volumes of new downline signups when
applied consistently and correctly. Modifications
to a members account can be made for up to
60 days after signup. After a member logs
into the back office they will get an option
available where they can pick which countries,
provinces or states they want their downline
signups to come from. Members will also get
the option of whether they want men, women,
or both to join their downline. When all the
signups have completed joining a new members
downline, the automated side of the members
account will be paused, at which time the
member can reorder more signups if they so
desire (so you can order more later after

Membership results will vary. MLMDS is designed

Members also continue in the normal course

could limit the volume and speed by which
a members downline increases. Any custom built

signups will still be subject to all the terms
and conditions shown herein. The MLMDS Memberships
performance can also be improved by the member
referring any existing downline members they
already have to the MLMDS website. Any indicated
volumes of signups the MLMDS Downline system
could potentially delivery to a Member either
on any page of the downlineservice.com website
or mentioned by way of a customer service
reply or text should be considered a best
case scenario, therefore Members should not
consider the results shown in any promotional
materials or webpages or testimonials as any
guarantee of gaining the exact same results
themselves in the exact same amount of time;
these are best case scenarios, actual results
may vary. Following the submission of a Members
opportunity details using Step 1 inside of
the members area, typically it is added within
24 hours (however, in some cases it could
take up to 7 days during peak times). Members
submitting details about their opportunity
have agreed to have carefully double checked
their opportunity sign up link for accuracy
to ensure it will bring prospects that click

After a members account goes live, they will

individual effort and enterprise. MLMDS puts
a noticeable amount of time and attention
into each Members accounts. Members shall
maintain professional conduct at all times;
any behavior that might be typically deemed
as "unprofessional" could result
in temporary or permanent suspension of service.
Any information or videos submitted to MLMDS
by members becomes the sole property of MLMDS.
Replies provided by our customer service department
cover a wide variety of topics depending on
the question, however, any reply is based
on the scope of this disclaimer including
but not limited to parts 1 and 2 of the service.
If at any point a Members wishes to remove
or modify their opportunity page they can
do so by emailing our support staff. Your
information covering your opportunity will
appear on what we call your "opportunity
page" which links direct to your actual
mlm company opportunity sign up page, acting
as a sales funnel; the information on your
opportunity page is in no way co-branded with
our company MLMDS. We are simply displaying
information you provide on our site in the
form of typical business advertising, thus,
our companies and businesses are no way interlinked,
partnered, or doing business together; and
we are still acting and doing business completely
independently from one another. Members agree
to be courteous and professional in dealing
with their new downline signups. Members agree

15.
INDEMNIFICATION
By joining any network marketing opportunity

website you hereby indemnify, defend and hold
MLMDS harmless of any liability, loss, claim,
expense, and potential damages that could
result. As with any business opportunity you
join there's always a risk and possibility
of both earning money and or losing money.
So if you join any network marketing business
opportunity you find on the downlineservice.com
website you fully understand this and are
aware of all of the various risks involved
in joining these types of opportunities. Once
the examination period is completed, then
service begins on an account. Once service
begins the examination period is concluded.
In the event of any unforseen circumstances
such as a Member no longer being involved,
quitting or being let go from their mlm company
distributorship, or their primary network
marketing company going out of business, or
the member deciding to no longer want to do
network marketing for their company, then
the members memberships can be transferred
to another network marketer or they can place
their account on pause. If the membership
is transfered to another network marketer
the member will need to find someone willing
to take over the account, and then let MLMDS
know by email, also letting us know the details
of the individual who is to take over the
account. Also in such an event that a Member
decides for any reason to not fill out the
Step 1 form in the members back office (to
initiate Step 1 of the service) they can place
that part of their account on pause by contacting
customer support, which can be done, until
such a time when the member may require service.
To reactive step 1 of the service on a paused
account, please contact customer support on
our contact page letting us know that you
plan to reinitiate step 1 and the complete
the step 1 form in the back office. The MLMDS
Downline system consists of our network of
a variety of: websites, blogs, and social
media accounts. Your opportunity page is added
to a list of opportunities which we send out

by some other company entirely, such as the

and as such you are now under that websites
domain which you've arrived at.

ACKNOWLEDGMENT
Should any provision of this Agreement be
found invalid, ineffective or unenforceable
under present or future laws, the remainder
of the provisions shall remain in full force
and effect and shall in no way be affected,
impaired or invalidated. No waiver of breach
of any provision of this Agreement shall constitute
a waiver of any other breach, or of such provision.
Failure of MLMDS to enforce at any time any
provision of this Agreement shall not be construed
as a waiver thereof. The remedies reserved
by MLMDS under this Agreement shall be cumulative
and additional to any other remedies in law
or equity.

EARNINGS DISCLAIMER & INCOME DISCLOSURE
STATEMENT
MLMDS provides downline building services
to network marketers to promote whichever
network marketing companies they're apart
of, as well as provides quality direct sales
education to network marketers in our members
area of the website. Every effort has been
made to accurately represent the MLMDS services
and its recruitment and downline building
potential. Every Member looking to try and

AFFILIATE PROGRAM DISCLAIMER, EARNINGS DISCLAIMER

MLMDS provides advertising services to network
marketers to promote whichever network marketing
companies they are a part of, as well as provides
direct sales education to network marketers

not charge any fees to join our standard online
affiliate program where affiliates can earn
an additional commissions from any affiliate
sales, in the standard way you see any affiliate
program you find online. MLMDS pays commissions
according to the current compensation plan,

page of the website. Incomes for our worldwide
affiliates, are minus any refunds and chargebacks,
and do not account for any costs incurred.
We do not require in promoting the program
that affiliates spend any money on advertising
unless they choose to do so. Each affiliate
doing promotions and advertising online will
only be compensated for actual sales that
happen. Affiliates are paid commission on
sales through our affiliate program based
on our commission structure. Payments are
made biweekly. Note that it takes hard work
